What is Limited Liability Company?
LLC stands for Limited Liability Company also known as Ltd. in the UK, s.r.o in Czech republic, GmbH in Germany or SARL in France. The limited liability company is the most common form of business corporation in the Czech Republic. It is regulated by the Business Corporations Act and Civil Code.
The basic attributes of the limited liability company are:
- it can have from 1 up to 50 owners;
- minimum amount of the company’s registered capital is CZK 1 (but recommended minimal registered capital is CZK 1,000 );
- real or virtual address;
- minimum time needed to establish LLC is 7 days;
- Czech citizenship in not required for LLC ownership or director;
- VAT registration required if annual revenue exceeds CZK 1,000,000 ;
- optional name (it must not be interchangeable with any already existing name of another company);
- obtaining the trade license is required (unless the company’s business activity includes only management of own property, letting of real estate, residential units and non-residential units or a special permit is required);
- LLC is established by a Memorandum of Association containing basic information about the company and signed by all the founders;
- the company has to be registered in the Commercial Register.
